2. Definitions
- Quote means our written proposal describing the scope, price and estimated timeline of the work.
- Project means the services and deliverables described in the Quote.
- Deliverables means the designs, website, code and other materials we create for you.
- Client Materials means text, images, logos, data, logins and other materials you supply.
- Business Client means a client acting for purposes relating to their trade, business or profession. Consumer means an individual acting for purposes wholly or mainly outside their trade, business or profession.
- Working day means Monday to Friday, excluding public holidays in England.
3. Quotes and the contract
A Quote is valid for 30 days. The contract between us is formed when you accept the Quote in writing (including by email) or pay the deposit, whichever happens first. The contract consists of the Quote and these terms. If they conflict, the Quote takes priority.
4. Scope and changes
We will deliver the Project described in the Quote. Anything not included in the Quote is outside the scope. If you ask for additional work or changes after a stage has been approved, we will tell you the extra cost and time in writing before doing it. Extra work is charged at our current hourly rate or at a fixed price agreed in writing.
5. Your responsibilities
- Provide complete, accurate Client Materials and feedback on time. Delays on your side may move the delivery date.
- Ensure you own, or have permission to use, all Client Materials, and that they do not infringe anyone's rights or break any law. You will compensate us for losses caused by a claim that Client Materials infringe third-party rights.
- Be responsible for the legal content of your own website, including your own privacy policy, terms of sale, cookie consent and compliance with consumer and advertising law, unless the Quote says we will write these for you.
- Keep your own accounts (domain, hosting, payment providers, platforms) secure and paid.
6. Prices and payment
- Prices are in pounds sterling (GBP). Unless stated otherwise, a 50% non-refundable deposit (subject to section 12 for Consumers) is payable before work starts and the remaining 50% before the website goes live or the final files are handed over.
- Maintenance and care plans are billed monthly or yearly in advance.
- Invoices are payable within 14 days of the invoice date unless the Quote says otherwise.
- If a Business Client pays late, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998 and pause work until payment is received.
- Third-party costs (for example domains, hosting, premium themes, plugins, stock images or apps) are not included unless the Quote says so, and are payable by you directly or reimbursed to us.
7. Timeline
Timelines in the Quote are estimates based on receiving your materials and feedback on time. We will keep you informed of progress and of any expected delays. We are not responsible for delays caused by you or by third-party providers.
8. Revisions, approval and acceptance
Unless the Quote says otherwise, each design stage includes up to two rounds of revisions. Further revisions are charged as extra work. When we send a stage or the finished website for review, please approve it or send a list of required changes within 10 working days. If we receive nothing within that period, or if the website is published live with your agreement, the work is treated as accepted.
9. Intellectual property
- Once we receive full payment, we assign to you the copyright in the final Deliverables created specifically for you.
- Until full payment, all rights in the Deliverables remain with us and you may use them only for review.
- Third-party items (themes, plugins, fonts, stock images, open-source code, platforms) remain owned by their licensors and are provided under their own licences.
- We keep ownership of our own pre-existing tools, code snippets, templates and know-how, and grant you a non-exclusive, perpetual licence to use them as part of your website.
- Unless you ask us not to in writing, we may show the finished work in our portfolio and add a small credit link in the website footer, which you may remove.
10. Hosting, domains and third-party services
Domains, hosting and platform accounts should be registered in your name. We are not responsible for downtime, price changes, policy changes or data loss caused by third-party providers. Where we manage hosting for you under a care plan, the provider's own terms also apply.
11. Support and warranty
For 30 days after launch we will fix, free of charge, any bugs that mean the website does not work as agreed in the Quote. This does not cover new features, changes in content, problems caused by changes made by you or others, third-party updates, or hosting issues. Ongoing support is available through a care plan.
12. Cancellation and termination
Business Clients
You may cancel the Project by giving us written notice. You must pay for all work done up to the cancellation date, any third-party costs we have committed to, and the deposit is non-refundable. Care plans can be cancelled with 30 days' written notice before the next billing date.
Consumers
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the right to cancel within 14 days of the contract being formed, without giving a reason, by emailing us a clear statement of your decision. If you ask us to start work during the 14-day cancellation period, you must pay a proportionate amount for the work done up to the time you tell us you are cancelling. If the work has been fully completed within that period at your request, you lose the right to cancel. We will refund any money due within 14 days of your cancellation, using the same payment method.
Either party
Either of us may end the contract immediately by written notice if the other seriously breaches these terms and does not fix the breach within 14 days of being asked to, or becomes insolvent. We may also end the contract if invoices remain unpaid more than 30 days after their due date.
13. Limitation of liability
- Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be limited by law.
- For Business Clients: we are not liable for loss of profits, revenue, business, goodwill, data or any indirect or consequential loss. Our total liability under or in connection with the contract is limited to the total fees paid by you for the relevant Project in the 12 months before the claim.
- For Consumers: we are responsible for loss you suffer that is a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. We are not responsible for business losses. Your rights under the Consumer Rights Act 2015 are not affected.
- We do not guarantee specific search engine rankings, traffic, sales or advertising approval results.
14. Data protection
Each of us will comply with UK data protection law. Where we process personal data on your behalf while providing the services (for example your customers' details on your website), you are the controller and we are the processor, and we will:
- process the data only on your documented instructions and for the purpose of providing the services;
- ensure our staff are bound by confidentiality;
- apply appropriate security measures;
- only use sub-processors (such as hosting and email providers) under written terms that protect the data, and tell you about any changes;
- help you respond to data subject requests and meet your security and breach obligations;
- notify you without undue delay after becoming aware of a personal data breach;
- delete or return the data at the end of the services unless the law requires us to keep it;
- make available information needed to show our compliance.
How we handle your own personal data as a client is described in our Privacy Policy.
15. Confidentiality
Each of us will keep confidential any business information received from the other that is marked confidential or would reasonably be considered confidential, except where disclosure is required by law or needed to deliver the services.
16. Events outside our control
Neither of us is responsible for delays or failures caused by events outside our reasonable control, such as outages of third-party services, internet failures, natural disasters or government action. If such an event lasts more than 30 days, either of us may end the contract by written notice.
17. Complaints
If you are unhappy with our services, please email ecomade6@gmail.com. We will acknowledge your complaint within 5 working days and try to resolve it fairly and quickly.
18. General
- We may subcontract parts of the work but remain responsible for it.
- Neither party may transfer the contract without the other's written consent, except that we may transfer it to a company that takes over our business.
- If any part of these terms is found invalid, the rest remains in force.
- No one other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
- We may update these terms; the version in force when you accept a Quote applies to that Project.
19. Governing law
These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you are a Consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
